1. Scope of Application

1.1 In addition to the Terms of Use of the website www.hillary.it (the “Site”), these Terms and Conditions (the “T&C”) govern orders of products sold by Hillary S.r.l., a limited liability company with registered office at S.S. 100 Km 17,500 "IL BARICENTRO" Lot 17 Mod. 19 - 70100 Casamassima (BA), VAT IT05660350728 (“Hillary”), in favor of professional buyers (each, a “Buyer”).

1.2 These T&C apply without limitation to all orders placed on the Site, regardless of the Buyer’s general purchasing conditions.

1.3 To proceed with a purchase, the Buyer must fully accept the T&C. The applicable terms are those in force at the time of the order.

1.4 Purchases on the Site are reserved exclusively for professional entities with an active VAT number operating in the same or related sectors. By placing an order, the Buyer declares to:

• Act on behalf of a company with an active VAT number;

• Use the products exclusively for professional purposes;

• Have the authority to enter into contracts on behalf of the represented company.

1.5 The Buyer is responsible for the security of their account. Hillary is not liable for any misuse of login credentials.

1.6 Hillary may modify the T&C at any time. Changes apply to orders placed after the online publication of the updated version.

2. Products Offered

2.1 Product Types
Hillary S.r.l. offers for sale on the Site fabric color charts (plain and embroidered) for bridalwear, formalwear, and children’s formalwear. Fabrics by the meter are not available for direct purchase: a personalized quotation can be requested.

2.2 Availability
The availability of products for purchase is updated regularly. Availability of fabrics via quotation will be communicated by email following the request. In case of unavailability, the Buyer will be contacted for an alternative or a refund.

2.3 Product Conditions
Images on the site are for illustrative purposes only. Minor variations in shade or texture are normal and consistent with industrial tolerances in the textile sector. Color charts are physical samples, non-returnable, and may vary in quantity or format depending on availability and fabric cost.

2.4 Access to Prices and Quote Requests
Only registered users, with a valid VAT number relevant to the sector, can view prices or request quotes. Hillary verifies customer eligibility before accepting the request.

2.5 Direct Purchase from Cart
Color charts can be purchased directly from the shopping cart after login and account verification. Prices are shown excluding VAT and shipping costs, which are calculated at checkout. Free shipping is available above specific thresholds for each geographic area (see section 5.6). Orders cannot exceed 2 kg: the system automatically blocks orders above this limit.

3. Orders and Prices

3.1 Order Process and Quote Request
The Buyer must register with a valid VAT number. The standard process includes:

• User profile verification by Hillary;

• Sending the quotation via email, if the customer is eligible;

• Confirmation and finalization of the order outside the site.

3.2 Online Purchase of Color Charts
Charts can be purchased online once the account is verified. No minimum order is required. However, orders above 2 kg are not allowed.

3.3 Invoicing
Invoices are issued with the details provided by the Buyer at the time of order.

3.4 Order Cancellation
The Buyer may cancel an order only if the waybill (or tracking number) has not yet been issued on the courier’s platform. In case of unavailability, Hillary will issue a full or partial refund for the items.

4. Payments

4.1 Payment for color charts purchased online must be made by credit card.

4.2 All prices are net of VAT, shipping costs, and duties, which are calculated automatically during checkout.

4.3 If payment fails, the order will be canceled.

4.4 Refund in Case of Unavailability
If payment is made for a product no longer available, Hillary will refund the amount using the same payment method.

5. Shipping

5.1 The maximum weight allowed per order is 2 kg. Orders exceeding this cannot be processed.

5.2 Shipping costs vary by geographic area and weight. Shipping is free above a certain threshold, depending on the area (see section 5.6).

5.3 Shipments are made via DHL courier. Delivery times are indicative (from 2 working days depending on the shipping address).

5.4 The Buyer is responsible for providing a correct address. Hillary is not liable for delays or failed deliveries due to incorrect details.

5.5 Any delivery anomalies must be reported within 3 working days.

6. Warranties and Claims

6.1 Products comply with international trade regulations.

6.2 Any defects or non-conformities must be reported in writing within 3 days of delivery.

6.3 Damage due to misuse or negligence is excluded from warranty.

6.4 Hillary will, at its discretion, replace or refund the non-conforming product.

7. Liability

7.1 Hillary is not liable for indirect or consequential damages.

7.2 Overall liability shall not exceed the value of the purchased product.

8. Intellectual Property

8.1 All site content is the exclusive property of Hillary S.r.l.

8.2 Any unauthorized reproduction, distribution, or use is prohibited.

9. Data Protection

9.1 Personal data is processed in accordance with GDPR.

9.2 The Buyer authorizes Hillary to use data for commercial, logistical, and customer support purposes.

10. Changes to the Site and Products

10.1 Hillary reserves the right to modify, suspend, or discontinue the sale of products without notice.

11. Force Majeure

11.1 Neither Party shall be liable for delays or failures caused by force majeure.

12. Dispute Resolution

12.1 In case of dispute, the Parties agree to seek an amicable solution.

12.2 Failing agreement, the exclusive jurisdiction is the Court of Bari (Italy).

13. Communications

13.1 All communications must be made by email or post to the addresses indicated by the Parties.
